The Enterprise Investment Scheme (EIS) is a UK Government initiative designed to stimulate private investment into small, early-stage trading companies by offering a suite of highly attractive tax incentives.


Under EIS, qualifying investors can benefit from:

  • 30% income tax relief on investments up to £1 million per tax year (or up to £2 million when investing in knowledge-intensive companies)
  • Deferral of Capital Gains Tax on gains reinvested into EIS-eligible shares
  • Exemption from Capital Gains Tax on profits realised from EIS shares held for at least three years
  • Loss relief, allowing losses to be offset against income or capital gains, providing downside protection


To qualify, companies must:

  • Have gross assets under £15 million
  • Employ fewer than 250 staff (or 500 for knowledge-intensive businesses)
  • Raise no more than £5 million per year under EIS (or £10 million for knowledge-intensive companies)


Investors claim their tax reliefs using the EIS3 certificate, submitted through their Self Assessment tax return.


EIS shares are ordinary shares that qualify for tax relief under the UK’s Enterprise Investment Scheme, unlike standard common shares which offer no such benefits. While both carry the same ownership rights, EIS shares must be newly issued by qualifying unlisted companies and held for at least three years to access reliefs such as 30% income tax relief, capital gains tax exemption on gains, and loss relief. 


Common shares can be issued by any company and lack these tax advantages, making EIS shares a more tax-efficient but higher-risk option typically associated with early-stage businesses.


Yes, you can sell or transfer EIS shares early, but doing so within the three-year qualifying period means you’ll lose the associated tax benefits. This includes the 30% income tax relief, which will be clawed back by HMRC, and any exemption from Capital Gains Tax (CGT) on disposal. If you've deferred a gain into the EIS investment, that gain will also become chargeable immediately upon disposal.


There’s no restriction on selling the shares from a legal standpoint, but exiting early effectively negates the tax advantages that make EIS attractive in the first place. You will also need to make sure there is either a market or individual who can purchase the shares.


The minimum investment is £10,000

  • Read and understood all relevant risk warnings

Finally, upon signing and submitting your application, and providing valid identification documents for AML verification, you will be instructed to transfer your funds directly to Soteria Shielding Systems.
