Risk Awareness and Regulatory Disclosures

The content of this website has not been approved by an authorised person within the meaning of section 21 of the Financial Services and Markets Act 2000 (“FSMA”). Any reliance on information herein for the purpose of engaging in investment activity may expose you to a significant risk of losing all capital invested.

Stockbrook Capital Limited (“Stockbrook Capital”) is not authorised or regulated by the UK Financial Conduct Authority (FCA) or by any equivalent financial services regulator in any other jurisdiction. We do not conduct (and will not conduct) any regulated activity under FSMA 2000. In particular, Stockbrook Capital does not engage in the following activities:

  • Advising investors on the merits or suitability of any investment
  • Arranging transactions or deals in investments
  • Managing investments on behalf of investors
  • Holding or controlling client money or assets
  • Executing investment transactions

Our role is confined strictly to introducing qualifying investors to companies or projects seeking capital, in circumstances that fall within exemptions under FSMA 2000 and the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (“FPO”). We do not carry out any services beyond these introductory activities.

Eligible Investors

The content of this website (and any related communications) is directed exclusively at persons who fall within one or more of the investor categories exempted under the FPO. These categories include:

  • Article 19 – Investment Professionals
  • Article 48 – Certified High Net Worth Individuals
  • Article 49 – High Net Worth Companies, Partnerships, Associations or Trusts
  • Article 50 – Sophisticated Investors
  • Article 50A – Self-Certified Sophisticated Investors
  • Article 51 – Associations of High Net Worth or Sophisticated Investors

If you do not fall into any of the above categories, you must not act upon or rely on any material provided by Stockbrook Capital. This website is not intended for the general public or any investor who does not meet the specified criteria.

International Jurisdictions

The distribution of information on this site may be restricted by law in certain jurisdictions. Persons accessing the website from outside the United Kingdom are responsible for ensuring compliance with any local laws or regulations that apply to them. Stockbrook Capital accepts no responsibility for any contravention of local securities laws or regulations by individuals who access this information in other jurisdictions. If you are viewing this site in a country where the content is restricted or illegal, you should exit this site immediately.

Commissions and Conflicts of Interest

Stockbrook Capital may receive introducer or success fees from the companies to whom investor introductions are made. Such fees or commissions are normally paid by the company raising capital or managing investments and not by investors. We will always disclose any remuneration arrangements transparently upon request.

Principal Risks

Investments introduced through Stockbrook Capital are high-risk and unregulated. By their nature, these investments carry significant risks that you should carefully consider. Key risk factors include:

  • Loss of Capital: You could lose all of the money that you invest. There is no guarantee of any return of principal.
  • Illiquidity: These investments are not readily realisable or easily sold. You may not be able to exit the investment when you wish, so any funds invested should be considered a long-term commitment.
  • Valuation Uncertainty: Any valuations provided for unlisted investments may not reflect the price you could actually obtain. The true realisable value of an investment can be uncertain or lower than expected.
  • Lack of Regulatory Protection: As these are unregulated investments, investors will not have access to UK regulatory safeguards such as the Financial Ombudsman Service (FOS) or the Financial Services Compensation Scheme (FSCS).
  • Dilution: If the company or project raises additional funding in the future, your ownership stake may be diluted. This means your percentage of ownership could decrease, potentially reducing your influence and the value of your holding.
  • Income Uncertainty: There is no guarantee that the investment will produce any income or returns. For example, dividends, interest payments, or other distributions may not occur as hoped (or at all).
  • Forward-Looking Statements: Any forecasts, projections, or forward-looking statements provided by companies are speculative. There is no certainty that projected outcomes will be achieved; actual results may differ significantly from expectations.
  • Execution Risk: The transaction or project may not complete as expected. Even if you commit funds, there is a risk that the deal could fall through or fail to meet its objectives.
  • Jurisdictional Risk: If an investment involves multiple countries or legal jurisdictions, additional risks may arise. Differing laws, regulatory environments, currency exchange issues, or political developments can increase the overall risk exposure of the investment.

Please note: The list above highlights major risks but is not exhaustive. You should ensure you understand all risks associated with a potential investment. High-risk investments are not suitable for many investors, and you should only invest money that you can afford to lose.

Investor Responsibilities

Prospective investors are expected to take personal responsibility for their investment decisions. In particular, you must:

  • Conduct Due Diligence: Thoroughly investigate and research any investment opportunity. Do not rely solely on information provided by Stockbrook Capital or the company seeking capital.
  • Seek Independent Advice: Obtain independent financial, legal, and tax advice from qualified professionals. An independent adviser can help assess whether an opportunity is suitable for your particular circumstances.
  • Verify Eligibility: Ensure that you qualify as an eligible investor under one of the exemptions (as described above) before engaging in any investment through Stockbrook Capital. You may be required to certify your status (e.g. as a high net worth or sophisticated investor) prior to investing.
  • Accept Responsibility for Decisions: Acknowledge that all investment decisions are your own. You should understand the risks and make your own judgment about an investment’s merits. Stockbrook Capital will not be liable for your decisions or any losses you may incur – you bear full responsibility for any outcomes.

If you cannot agree to all of the above, or if you do not meet the applicable investor criteria, you should not continue to use this website or consider any information it presents, and we kindly ask you to please exit immediately.
